These Terms and Conditions govern the provision of services by Tula Group Limited, its subsidiaries and trading styles including Tula Energy Limited and Tula Communications (collectively referred to as "Tula"). Please read these Terms carefully prior to engaging with our services. By accessing and using Tula’s services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please refrain from using our services.
1. Definitions and Interpretation
1.1 In these Terms and Conditions ("Terms"), the following terms shall have the following meanings:
• "Customer" means the individual or business who has engaged Tula to receive Services.
• "Services" means the services provided by Tula as described in these Terms, including, but not limited to, the Contract Checking Service, Pricing Comparison Service, and Supplier Services.
• "Supplier" means the third-party provider of goods and services with whom Tula arranges a contract for the Customer.
• "Existing Supplier" means the supplier the Customer is currently contracted with for relevant services.
• "Site" means the website of Tula, including all content, materials, and services provided via the site.
• "Letter of Authority" means the authorisation given by the Customer to Tula, permitting Tula to liaise directly with the Customer’s Existing Supplier for the purpose of performing the Contract Checking Service.
2. Services Provided
2.1 Tula provides the following services to the Customer:
• Contract Checking Service.
• Pricing Comparison Service.
• Liaising with Suppliers to arrange contracts and facilitate Customer's energy, digital and mobile connectivity needs.
2.2 Tula may offer additional services or make changes to the Services provided, subject to notice to the Customer.
3. Contract Checking Service
3.1 If the Customer opts for and Tula agrees to provide the Contract Checking Service, the Customer shall sign a Letter of Authority authorising Tula to contact and liaise directly with the Customer’s Existing Supplier.
3.2 Upon receipt of a signed Letter of Authority, Tula will send a questionnaire to the Existing Supplier requesting details of the Customer’s current contract, including the end date, notice period, termination process, prices, and consumption details.
3.3 Tula will use reasonable endeavours to forward any responses from the Existing Supplier to the Customer. However, Tula is not responsible for delays or failures by the Existing Supplier in responding to the questionnaire or cooperating with Tula.
3.4 Tula is not responsible for providing any Supplier Services.
4. Charges
4.1 Except in respect of clause 4.18, there is no fee due from the Customer for the Services. Tula reserves the right to impose charges on the Services, subject to reasonable notification to the Customer. The Customer may opt out of receiving the Services if they do not agree to the charges.
4.2 Tula is remunerated by commission from the Supplier upon securing and finalising a Supply Contract between the Customer and Supplier. This commission is included in the rates arranged for the Customer and is based on the estimated consumption for the contract’s term. There are no extra payments to be made by the Customer directly to Tula.
4.3 Suppliers may pay additional commission to Tula based on the size, profitability, or volume of contracts.
4.4 The Customer may request the amount of commission Tula has received from arranging the Supply Contract by making a written request to [email protected]
4.5 Any Administration Fee payable under clause 4.18 is due within 30 days from the date of the invoice.
4.6 If the Customer fails to pay any amount due, Tula reserves the right to charge interest at 8% per annum or the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Customer’s Obligations
5.1 The Customer warrants, represents, and undertakes:
• a) To cooperate with Suppliers and Tula, providing all relevant information in a timely manner, ensuring such information is accurate and current.
• b) To comply with these Terms and any applicable Supplier terms.
• c) To keep any passwords, user details, or account numbers confidential and to notify Tula of any unauthorised use.
6. Intellectual Property Rights
6.1 All intellectual property rights in the Services, materials, Site content, and any related information provided by Tula are owned by Tula and/or its licensors. Any use of these rights without Tula’s permission constitutes an infringement.
7. Termination
7.1 Tula may terminate or suspend the Services immediately upon written notice if:
• a) The Customer breaches any provisions of these Terms and fails to remedy the breach within 7 days after notification.
• b) Tula reasonably suspects fraud against Tula or any Supplier.
7.2 The Customer agrees to indemnify Tula against any claims, losses, damages, or legal costs arising from the Customer’s use of the Services, breach of these Terms, or any third-party claims.
8. Limitation on Liability
8.1 Tula will exercise reasonable skill and care in providing the Services but is not responsible for delays or inaccuracies caused by third parties, including Suppliers.
8.2 Tula does not warrant or accept liability for the accuracy or completeness of any information provided to the Customer.
8.3 Tula’s total liability for direct financial losses caused by its mistake, act, or omission is limited to the lesser of the amount the Customer would have saved or the commission Tula earned for securing the Supply Contract.
8.4 Tula is not liable for any indirect, special, incidental, or consequential damages, including loss of profit, data, contracts, or goodwill.
8.5 Tula’s liability for death, personal injury, or fraud is not excluded.
9. Data Protection
9.1 Tula processes personal data in accordance with its Privacy Policy. The Customer agrees to the processing of their data for purposes such as quotations or facilitating contract transfers.
9.2 Tula may submit Customer data to relevant industry databases to facilitate any quotation or contract transfer.
10. Force Majeure
10.1 Tula is not liable for delays or failure to perform obligations caused by events beyond its reasonable control, including strikes, failure of utility services, acts of God, war, riot, and other unforeseen events.
11. No Waiver
11.1 Tula’s failure to enforce any of its rights under these Terms is not deemed to be a waiver of such rights unless confirmed in writing by Tula.
12. Severability
12.1 If any clause of these Terms is found to be invalid, illegal, or unenforceable, it will be deemed deleted, without affecting the remainder of the Terms.
13. Third-Party Rights
13.1 Except as provided in clause 8.2, these Terms are personal to the parties and do not confer rights on third parties.
14. Transfer of Rights and Obligations
14.1 These Terms are binding on the Customer and Tula and their successors.
14.2 The Customer may not transfer or assign these Terms without Tula’s written consent.
14.3 Tula may transfer or assign these Terms or sub-contract obligations at any time.
15. Entire Agreement
15.1 These Terms, along with the Privacy Policy and Terms of Use, represent the full extent of Tula’s obligations and supersede any previous agreements.
16. Governing Law and Jurisdiction
16.1 These Terms are governed by the laws of England and Wales. The parties submit to the non-exclusive jurisdiction of the English Courts.
